Monthly Renter Policy
INDEMNIFICATION STATEMENT AND AGREEMENT (part of Renter Policy) Band Spaces NYC and/or Band Spaces LLC and/or Ten Spaces LLC (hereafter, *Licensors*), licensing premises and/or room(s) and/or propertie(s) and/or studio(s) and/or building(s) and/or space(s) at 180-188 N. 14th Street (Brooklyn NY 11249); and at 208 6th Street aka 410 3rd Avenue (Brooklyn NY 11215) studios; and at 71 Schenectady Avenue (Brooklyn NY 11213) and at 345 Ten Eyck Street (Brooklyn NY 11206); and at 342 Maujer Street (Brooklyn NY 11206); and at 261 Douglass Street (Brooklyn NY 11217); and at 58 North 9th Street (Brooklyn NY 11249); and any and all other addresses where Licensors perform the business of licensing, renting or subletting space (hereinafter, collectively, *the Studios*). Each of the terms *I*, *my*, *you*, *your* refers to you, the person renting, licensing, sublicensing, or using space in the Studios (the *Licensee*). THIS IS A LEGALLY BINDING AGREEMENT, LIABILITY RELEASE, WAIVER, EXPRESS ASSUMPTION OF RISK, INDEMNIFICATION, AND COVENANT NOT TO SUE (the *Agreement*) THAT AFFECTS YOUR LEGAL RIGHTS. By reading this Agreement and/or by continuing to license, use or rent our studio(s), you forever give up all your rights to ever recover any compensation or obtain any other remedy for any injury to yourself (or any illness, or any other health condition, or death), or for any loss of, or damage to, your property, arising out of your use of, or your renting or licensing of, or your presence in, the Studios. You hereby grant and agree that each of the following statements is true and correct: 1. I hereby affirm that I have carefully read this Agreement as well as all items at bandspacesnyc.com/POLICY in their entirety and agree to each and every term and condition outlined therein. I agree that by renting a room or rooms in the Studios, I am a *Licensee* of the room or rooms which I have rented. I understand that the infringement by myself (or by any invitee or invitees or any person or persons I may bring to, or sublicense space to, or cause to enter or visit the Studio(s), or any member(s) of my band or group, or any subrenters, collectively, my *Invitees*) of any guidelines/policies herein may result in immediate termination without notice. I further affirm than neither I nor any Invitee has ever been removed from the Studios nor had a rental terminated due to Policy violation in the past. 2. I agree that I and all Invitees have carefully read and understood this Agreement, as well as all rules and guidelines, as outlined at BandSpacesNYC.com (hereinafter the *Website*) (specifically bandspacesnyc.com/INFO and bandspacesnyc.com/GUIDELINES and particularly regarding Deposit, Termination Notice and No money Refunds) BEFORE placing my booking and BEFORE furnishing any monies or deposit in connection with such booking. I further agree that no aspect(s) of my booking (including without limitation, StartDate, room & location, initial monthly rent, initial payment, booking type, discount amount, discount type, booked length of stay) may be altered in any way after my booking has been placed. I agree that no interest on any monies shall be returned to me including without limitation interest on any Deposit or Rent monies furnished by me or any Invitee(s). I understand that Licensor requires 2-month deposit plus pro-rated 1st month rent; minimum stay is 3 months & month-to-month thereafter (except bandspacesnyc.com/LONGSTAY and bandspacesnyc.com/SHORTSTAY bookings). I further agree that all bookings are made solely on a *first come, first served* basis without any exceptions and that any rental of the room I am renting by another individual or entity which occurs while my rental has become Terminated by any manner (regardless of whether I am aware of said Termination) shall supersede my rental and shall result in my vacating said room in accordance with the bandspacesnyc.com/TERMINATION and bandspacesnyc.com/MOVEOUT terms as indicated herein and on the website. 3. I agree that if Licensee (I or Primary Renter or any Invitee(s) shall default in the payment of rent or commit any other violation of this Policy, (a) my license/booking shall terminate automatically, (b) Licensor may thereafter recover possession and/or effect a lockout in accordance with its common law rights, (c) Licensor may do so without any duty, requirement, or necessity to provide due process or to seek prior court approval, through summary dispossess proceedings or any other action or proceeding at law, before evicting the Licensee and removing Licensee’s property and/or any person from the premises, and (d) the term *re-entry* as used in this Policy is not used in its technical or narrow sense but in the sense that Licensor may effect *physical* entry of the premises and/or the room(s) I have licensed or booked. 4. I agree that I, as Primary Renter, am fully responsible for all actions taken by any and all Invitees while in or near the Studio(s)(*Actions*), or which in any way affect Licensors or other renters at the Studio(s), and that any activity or activities engaged in by any Invitee(s) that can reasonably be considered illegal or negligent or harmful or contrary to this Policy or to the use of the Studios as studios (including, but not limited to trespassing, theft, stealing or looting supplies, burglary, stealing, vandalism, assault or causing injury, uttering threats, harassment, having a disorderly or excessively messy or dirty room, excessive noise including rehearsing or causing noise with studio door open, holding parties or gatherings exceeding 10 persons, engaging in product sales or merchandising) (*Activities*) will result in the termination without notice of my booking and/or license and removal of my property from the Studios as described in Paragraph 3 above and may also result in legal proceedings being brought against me, regardless of my participation (or lack thereof) in said Actions or Activities; and may in additionally result in my being liable for monies or damages to Licensors pursuant to said Actions or Activities. I further agree and understand that Licensors reserve the absolute right at any time and without any notice and without any need to seek Court Order to effect re-entry into the room(s) which I have licensed by any and all necessary means including but not limited to self-help, and to remove all property and to change any locks and to perform a lockout and/or re-take possession of any rooms or permises in the event any Actions or Activities as described in the prior sentence are engaged in or undertaken by or are the responsibility of myself as Primary Renter or by any Invitee(s). I agree to ensure the room remains clean and swept and orderly and to have garbage (including bottles and recyclables) and refuse removed regularly, and that the room will be considered disorderly if the aforementioned conditions are not maintained; I further agree to ensure the room is immediately returned to broom-clean bandspacesnyc.com/MOVEOUT condition if so requested by Licensors and/or Super and/or if the room is deemed disorderly by Licensors and/or Super. I agree that my rental may, as a result of violating any portion of this Policy, be terminated without notice, or may be considered not in good standing which may in turn result in my no longer being eligible to receive any refund, whether or not I was otherwise qualified to receive any refund, by leaving, or being caused to leave, before my VacancyDate or for any other reason. 5. I agree to ensure the room remains clean and swept and orderly and to have garbage (including bottles and recyclables) and refuse removed regularly, and that the room will be considered disorderly if the aforementioned conditions are not maintained; I further agree to ensure the room is immediately returned to broom-clean bandspacesnyc.com/MOVEOUT condition if so requested by Licensors and/or Super and/or if the room is deemed disorderly by Licensors and/or Super. 6. I further affirm that I and any Invitees will fully abide by all rules and guidelines as set out at bandspacesnyc.com/POLICY and in the STUDIO INFO email received from Licensors. 7. I promise that I have truthfully and correctly identified myself and all members on the bandspacesnyc.com/BOOK_MONTHLY form and that the main renter (*Primary Renter*) for the room I am renting/have rented has entered their current legal name and current street address in the appropriate fields. I understand that Licensors may at any time request proof of identity of myself and/or of the Primary Renter and/or any Invitee(s), and that further my failure, or the failure of Primary Renter and/or any Invitee(s) to timely provide such proof may result in immediate termination of my booking without notice. I further understand that my failure, or the failure of Primary Renter and/or any Invitee(s) to accurately enter my/their respective correct, accurate, legal name(s), may result in immediate termination of my booking without notice. 8. I understand that the Studios are located on private property, and that Licensors may deny entry to the Studios, or require or cause to leave the Studios, anyone at any time for any legal reason; and further that Licensors may disallow and/or cancel any booking at any time, for any legal reason, including, but not limited to, the illegal activity and/or criminal activity and/or acts of fraud or forgery and/or misrepresentation of identity and/or reckless or violent behaviour and/or alcohol or substance abuse and/or violation of any rule(s) or policy or policies of Licensors by me and/or by Primary Renter and/or by any Invitee(s). 9. I hereby submit that any injury that I (or any invitee or any person or persons I may bring to, or cause to enter or visit the Studio, or of any member of my band or group, collectively, my *Invitees*) sustain while on or near the premises of the Studios is not the responsibility of any of the following: Licensors, any owner(s) of the premises of the Studio, nor any of their respective managers, employees, assigns, representatives or successors. 10. I warrant that I have obtained insurance (for loss and theft and damages) covering all property which I and/or any Invitees will bring to or will store in or have stored in or have brought to the Studios. I understand that neither Licensors nor any partner(s) of Licensors, any owner(s) of the premises of the Studio, nor any of their managers, employees, assigns, representatives or successors is responsible for any equipment or property which I, or any Invitee, may leave on the premises of the Studios and I and any of my Invitees hereby waive any right to sue Licensors, any partner(s) of Licensors, any owner(s) of the premises of the Studio, or any of their managers, employees, assigns, representatives or successors, in the event said equipment or property is lost or damaged at (including, but not limited to damage from water, mold, vermin, electric surges, dust, temperature extremes) or burglarized or stolen from, the Studios. I additionally agree to not ever abate my rent for any cause, including any listed in this paragraph. I agree that any items or equipment or property left at the Studios or on the property by myself or any Invitee(s) after *MoveOutDate* (as herein defined) shall be removed and disposed of by Licensors; and that further, I shall be solely and fully responsible for all costs related to said removal and disposal. 11. I am aware that the Studios are located in or near to areas that may be subject to serious and possibly devastating flooding activity. I understand that some areas in the Studios are located in basements and/or cellars, and that such areas are at greater risk of being subject to flooding. I understand that if any flooding occurs, my property may be subject to loss and/or destruction and/or serious damage, and that furthermore I and any Invitee(s) may be at risk of serious personal injury if such flooding occurs. I agree that the Studios shall not be responsible in any way for any injury or damages due to any flooding or any other natural disaster. I agree that the Studios has no responsibility to warn or notify me of any possible weather events; and I agree to monitor weather conditions and to take reasonable necessary steps to avoid injury to myself and any Invitee(s) and to avoid damages to any property in the Studios arising out of any flooding and/or weather events. 12. I agree to be fully responsible for all maintenance and cleaning in room(s) I booked, including any maintenance and/or cleaning required as a result of events beyond my control and/or events occurring outside the room(s) I booked which may result in damages and/or mess in room(s) I booked. 13. I agree to be fully responsible for the payment of all rent for the room(s) I booked from booked StartDate through VacancyDate without exception, and regardless of the date I actually move(d) in (*MoveInDate*) or move(d) out (*MoveOutDate*). I promise to pay my full rent plus all balance(s) and late fee(s) on the 1st of every month; and I agree that there is no rent abatement or reduction allowed whatsoever for any reason, including for any lack of service(s) [which may include without limitation electric service, heat, water service, bathrooms, AC, elevator, internet]; and including for any lack of access to the Studio(s) for any reason including without limitation issues or costs related to obtaining or retaining or possessing or copying keys or any door/doorknob/lock issues; for any disruption(s) and/or mess and/or damage from or hindrance related to any work performed and/or room condition or for any other reason; for any loss, damage (including without limitation damage for building-related events such as leaks, floods, mold, fire etc), burglary, illness, plague, virus outbreak, governmental lockdown or for any other reason. I understand that Licensors may collect monies from me for any balance(s) due that I or any Invitee(s) may owe to Licensor in Licensors sole discretion, using any legal manner, including by temporarily reducing my deposit or by appropriating rent or balances paid by me or any Invitee(s) in relation to a different booking placed by me or any Invitee(s). I agree that any accounting for non-standard payments made by myself or any Invitee(s) (partial payments, excess payments, multiple payments, early payments, multiple-month payments and multiple room summed payments) is my sole responsibility; and that making non-standard payments requires prior written permission from management and will add surcharges. I understand that new-construction buildings may be subject to delays, for which there may be no notice given, including utility installation. 14. I promise that I and all Invitees have added (or will immediately add) management@bandspacesnyc.com & spaces@bandspacesnyc.com to our email approved sender list / address books and that I and all Invitees have excluded (or will immediately exclude) the same 2 email addresses from all email spam/junk filters. I understand that all notices from Licensors are sent from management@bandspacesnyc.com & spaces@bandspacesnyc.com. I understand it is my sole responsibility to keep, file and maintain all records and info and emails related to my rental; I promise that I and all Invitees will keep, file and maintain: this Policy; and all notices and emails to and from Licensors; and all Paypal receipts related to Licensors; and that furthermore I and all Invitees will maintain all records including without limitation StartDate, VacancyDate, EarliestDepartureDate, monthly rent amount, deposit amount, rent raise date, and all payment amounts, dates and Transaction IDs. I agree that all notices and emails sent from Licensors that can be shown to be sent to (or CC or BCC) my email address and/or my Invitees email address or addresses and/or the email addresses as submitted by me and/or my Invitees on the bandspacesnyc.com/monthlybooking form will be considered as received by me and/or by my Invitees, regardless of my (or my Invitees) ability or inability to locate such emails. I understand that any error or errors related to the submission of my and/or my Invitees information to Licensors database including but not limited to email address or addresses are my sole responsibility. I agree that I will update my and my Invitees information (including but not limited to email address) in Licensors database as necessary and in a timely fashion, by sending email to Licensors. I understand that all emails and notices and correspondences and reports related to the Studios (including but not limited to maintenance or repair reports) must be submitted via email to management@bandspacesnyc.com and that failure to convey such email or notice in said manner will render such email/notice as if it were never conveyed nor received. I understand that all text messages sent to Licensors will be ignored by Licensors. 15. I warrant that I have personally fully and completely inspected the room I am/will be renting (including walls, floor, ceiling, door, knob, locks), as well as the entire premises, to my complete satisfaction *before placing any booking or furnishing any monies*, and I deem that the building and the room I am/will be renting are/is fully acceptable from all perspectives, including room condition and audio and size and physical perspectives and features and regardless of room and/or building condition upon move-in (and including if room and/or building are incomplete or under construction upon move-in) and/or actual room dimensions and/or features and regardless of whether they vary from dimensions and/or features listed on the Website and/or in any emails. I understand and fully accept that all dimensions and/or features listed on the Website and/or in any emails are approximate and that actual room dimensions and features may vary from those on the Website or in emails received. I understand and fully accept that no room in the Studios is fully soundproof, regardless of any listed title or room type, and that sound and/or noise from adjacent or nearby rooms may make any activities in my room (including without limitation recording and/or rehearsal) impractical or impossible. I agree that I will not be eligible for any refund (and I agree to not ever abate my rent) for any cause, including any listed in this section. I understand that I must notify Licensors by email within 24h after my booked StartDate if OutgoingRenter did not leave the room in broom-clean condition, or if there are any issues related to access and/or keys and/or the room door/doorknob/lock and/or move-in and/or the room I have licensed; and that my failure to so notify Licensors constitutes my affirmation that there are/were no issues with move-in (timing or otherwise) nor with the room I have licensed; and further that I shall not qualify for any rent abatement whatsoever, either related to delayed Move-In Date, or room or building condition/issues. I agree to be fully responsible for any existing damages in the room I am renting unless I notify Licensors via email within 24h after my booked StartDate regarding said damages. I agree that if additional soundproofing may be required, I will undertake any such bandspacesnyc.com/IMPROVEMENTS (to be performed in accordance with the bandspacesnyc.com/GUIDELINES ) at my sole expense. I further understand that the room I am renting will be delivered in as-is condition and that it is my responsibility to visit the room before booking to verify all conditions and suitability. I agree that any repairs and/or improvements and/or removal incl shelves (which may only be removed if faulty), paint, flooring, walls etc will be my sole responsibility. I understand that no money refunds will be given under any circumstances whatsoever and that my *sole remedy in the event I am dissatisfied with, or am unable to use, my room (or the building or anything else pertaining to my rental) for any reason, including without limitation, size, location, condition, features (including shelves, windows, skylights etc), noise, lack of sound isolation, air quality, or any other reason, is to give *at least 60 days* bandspacesnyc.com/NOTICE* to leave. I agree that the only accepable methods of giving notice are by going to either bandspacesnyc.com/NOTICE or bandspacesnyc.com/RENT. I further understand that no improvements or repairs will be performed by Licensors, including but not limited to adding or repairing any soundproofing materials, or repairing shelving or any fixtures; with the sole exception being necessary repairs relating to leaks, floods, electric service, heat, AC. 16. I agree that neither I nor any Invitees will make any permanent or substantial or functional alterations to the room (other than erecting bandspacesnyc.com/SHELVES in accordance with the terms set out at bandspacesnyc.com/GUIDELINES ) without prior express written permission from Licensors. I agree that if any work or alterations performed by myself or any Invitee(s), violates any NYC building codes, or is not done in a workmanlike manner, or breaches or damages any walls or fixtures, or poses any risk of fire or injury, regardless of whether the work was authorized by Licensors, Licensors may remove any such work and restore the work area without notice (or require that I do same) and I agree to be reponsible for all costs of such removal and restoration; and additionally that my rental will be subject to termination without notice. I agree that, upon departure, I will ensure that the room is left with walls painted white, and with all items which are securely fixed to the room (including without limitation shelves, doors, fixed soundproofing, thickened walls, flooring (except carpets), electrical upgrades, fixed improvements [including items installed by me/us or during my/our rental]; collectively, *Fixtures*) left intact (and no existing Fixtures may be removed), and in broom clean condition, and in all events in accordance with the terms set out at bandspacesnyc.com/GUIDELINES and bandspacesnyc.com/MOVEOUT . I agree to not install or have installed or operate an air conditioner or hvac unit in the Studios without prior written permission from Licensors. I understand doing so may result in immediate termination without notice. 17. I agree to be financially fully responsible for any damage or damages to the Studios (or to any equipment therein or fixtures appurtenant thereto) which occur as a result of my actions, or which occur as a result of the actions of any of my Invitees. I further agree that any act(s) of vandalism or aggression perpetrated by myself or any Invitees towards any person or property in the Studios may result in the immediate booking termination and removal of myself and any Invitees without notice. I and all Invitees agree to not ever post any bills, notices, announcements or advertisements on outside of building or exit doors or any public place other than classified bulletin board. 18. I agree that I & all Invitee(s) will not ever provide any keys (or any access) to the Studios and/or to the room I rented to anyone (including any prospective incoming renters) unless and until I have been explicitly and specifically directed to do so via email from management@bandspacesnyc.com, and in case I am so directed, I agree to only provide keys and/or access to the person(s) named in said email. I agree that if I or any Invitee(s) provide keys and/or grant access to the Studios other than as explicitly and specifically directed to do so via email from management@bandspacesnyc.com, I will be financially responsible for any and all damages which may occur as a result of any unauthorized person or persons having access to the Studios; I will additionally be responsible for any additional and/or administrative charges or costs which may arise from said unauthorized person(s) having been given keys and/or access to the Studios; and I understand that any refund will be forfeited. 19. I agree to not ever use the provided internet service for any illegal purposes and to not ever use or download or stream files from any P2P (*Peer-to-Peer*) site or application, or any Torrent site or application, or any other site or application which allows or facilitates the sharing or downloading or uploading of illegal or pirated material. I am aware that the RIAA and MPAA and similar organizations are able to trace users by their IP address and that violation fines can reach or exceed $10000 per illegally-accessed file. I understand that if I or any Invitees engages in any activities described in this section, my full deposit will be forfeited, my booking immediately cancelled without notice, and all my and any Invitees property will be immediately removed from the space; and that further if my or any Invitees activities directly result in any fine or penalty assessed by the RIAA and MPAA or similar organization, I will be financially fully responsible for such fine or penalty, without any limitation whatsoever and will pay such fine or penalty without any delay. 20. I agree to be financially fully responsible for any municipal ticket or any city agency fee(s) or penaltie(s) which may occur as a result of my actions, or which may occur as a result of the actions of any of my Invitees. 21. I understand that the Studios are not to be used as a living space and are for use as storage space and/or music studios only. I agree that if I or any Invitees are deemed by Licensors to be or to have at any time been using any portion of the Studios as living space, my booking will be subject to immediate termination without notice, and that I and/or any Invitees will be subject to immediate removal without notice. 22. I understand that Licensors personnel and/or contractors and/or agents and/or Utility Company Employees may enter any space or room in the Studios at any time, in order to show the space to prospective renters, or to make repairs, or to check meters, or for any reason, without any notice. I further agree that at any time, without any notice or with minimal notice, building work and/or repairs at the Studios (*Work*) may temporarily render the room(s) I am renting unusable and/or inaccessible to me and/or to any Invitee(s). I agree that I and any Invitee(s) will abide by any notification from Licensors indicating that no access to the Studios (including the room(s) I have rented) will be permitted for a period or periods of time, that further that no abatement will be allowed related to any such disruption or lack of access. I understand that my property and/or any property (including without limitation music equipment and/or recording equipment) in any room including one(s) I may be renting may be temporarily moved and/or disrupted at any time, by Licensors personnel and/or contractors and/or agents. I understand that reasonable efforts will be made to restore my or any Invitee(s) property upon Work completion, but that I will have no recourse (including without limitation any rent abatement) in the event of any loss or damage(s) as a result of any removal and/or displacement and/or restoration of my or any Invitee(s) property. I agree that I will be prepared at any time, without any notice or with minimal notice, or as requested by Licensors personnel and/or contractors and/or agents, to remove and/or move any and all property in order to not obstruct any Work. I further agree that I and all Invitees will not attempt to enter, and will remain absent from, the room(s) I am renting, as requested at any time by Licensors personnel and/or contractors and/or agents, for any duration of time without limitation, and for any reason including without limitation the performance of Work. I agree to be financially fully responsible for any disruption to any Work due to the presence or actions of myself and/or any Invitee(s); I further agree to be financially fully responsible if any property or items belonging to myself and/or any Invitee(s) are the cause of any obstruction to any Work. 23. I understand that this Agreement limits *my* rights but does not limit *Licensors* rights and that further this Agreement does not constitute a Lease nor a Contract; and that further I will not ever receive a Lease nor a Contract regardless of whether I have rented (or will rent) a space or room in the Studios; and regardless of whether I have furnished (or will furnish) monies and/or a deposit and/or rent monies pursuant to renting space at the Studios; and that Licensors are not obliged in any way under this Agreement (regardless of whether I have submitted a booking and/or payment) other than to provide a license for the non-exclusive temporary use of a room or space reasonably similar to such room as booked and paid for by me and as shown on the Website. I further understand Licensees (including myself and any Invitee(s) are not and will not ever be considered to be *tenants* in or of the Studios, and that my licensing or renting a room(s) in no way confers any rights associated with tenancy, including without limitation rent control, basic services, or quiet enjoyment. I further understand that Licensors will make reasonable efforts to cure any issues or problems that arise (including necessary repairs) but that such issues/problems/repairs shall not be subject to any deadline or time limit(s). I understand that there is no Loitering in the Studios and that I and any Invitee(s) have license only to use licensed room and the bathroom and the hallways most directly leading from my licensed room to the bathroom and closest exit door(s) and that visiting or occupying or doing any work or activity in any other areas of the premises including without limitation other floors, or any attics or crawlspaces or hatches is strictly prohibited and may lead to trespassing charges and/or immediate termination without notice. 24. I understand that rental rate is strictly free-market and in no way subject to any rent control. I understand that rental rate will be raised at least once per year, as well as for each new booking, and that rental rate may additionally be raised at any time without notice, and without any limitation. I understand that if I have not received an email informing me of the raised rent amount of my room by the 12th (and 24th and 36th etc) month of my rental, it is my responsibility to request this information from Licensors before rent raise date; I further agree to immediately pay the raised rent amount (and all balances and amounts) upon demand therefor by Licensors and understand that any such demand may be made retroactively. I understand that my sole remedy, in the event I am unable to pay or afford rent, is to give at least 60 days bandspacesnyc.com/NOTICE . 25. I agree that any issues or problems (including, but not limited to, threats and/or harassment) that I or any Invitees may encounter related to another individual or individuals in the Studios shall in no way be the responsibility of Licensors. 26. I agree that I and all Invitees will depart the Studios in a timely fashion at the end of my rental at or before the time and date specified in my Termination Notice *Move-Out Date*, which is the earlier of *VacancyDate* or *EarliestDepartureDate* as selected on the Termination Notice Form, with the understanding that if on the Termination Notice Form the option to *Leave Early* is selected, I and all Invitees will, on 24h email notice from Licensors or IncomingRenters, permanently leave the Studios and remove all property per bandspacesnyc.com/MOVEOUT terms. I understand that Termination Notice cannot be retracted or altered in any way. I understand that my or any Invitee(s) consent to leave, or my or any Invitee(s) giving bandspacesnyc.com/NOTICE to leave via the form or via email or by any other communication cannot be retracted, and that any such consent or notice will be tantamount to giving bandspacesnyc.com/NOTICE to permanently leave; and that in such case, my VacancyDate will be my current PaidEndDate, which is generally the 1st of the month approximately 2 months after giving such Notice. If I am unsure as to this or any other date, I will contact Licensors. I further agree that if I consent to *Leave Early* without specifying a date, then the earliest date by which I (and all Invitees) am willing to bandspacesnyc.com/MOVEOUT (*Earliest Departure Date*) will irrevocably be considered to be two full months before my VacancyDate, and as such I agree to be prepared to, on and per 24h email notice from Licensors or IncomingRenters, permanently leave the Studios as early as said Earliest Departure Date. I further agree to ensure that all property belonging to (or brought to or stored in the Studios) myself and/or any Invitees (except shelving and/or permanent additions as described at bandspacesnyc.com/IMPROVEMENTS) is removed from the Studios before said time and date; and to abide by the rules set out at bandspacesnyc.com/MOVEOUT . If I do not know or am unsure as to Move-Out Date I will request this information via email from Licensors in a timely fashion. I agree that if I (or any Invitees) fail to either fully comply with the rules set out at bandspacesnyc.com/MOVEOUT or to fully move out per said rules in a timely fashion on or before *Move-Out Date* per bandspacesnyc.com/MOVEOUT (or on and per 24h email notice from Licensors or IncomingRenters per *EarliestDepartureDate* per bandspacesnyc.com/MOVEOUT, whichever is earliest) per above, I will be subject to penalties and/or storage fees and/or lock-change fees, in addition to daily rent at penalty rate determined by Licensor. I understand that I must return all keys upon MoveOut and further that in order to maintain safety and security, my failure to return all keys to Licensor upon MoveOut will result in my no longer being in good standing, and cause me to be ineligible to receive any refund, whether or not I was otherwise qualified to receive any refund. I authorize Licensors to release my name and cell number and email address to prospective renters and I agree to show the room I have rented to prospective renters, and I understand that the room I have rented will be shown from time to time to prospective renters without any notice whatsoever. I additionally authorize Licensors to release my name and cell number and email address to prospective renters for the purpose of showing the room and/or coordinating Move-In and Move-Out. 27. I agree that I will not enter the Studios after Move-Out Date except as an Invitee of another renter or unless I place a new paid booking; that I and all Invitees will relinquish all Studio keys on or before Move-Out Date and neither I nor any Invitees will attempt to use said keys to re-enter the Studio after Move-Out Date, and that any attempt on my part (or that of any Invitee) to remain in or re-enter the Studios after Move-Out Date may result in my being (and/or any Invitee being) prosecuted for trespassing. 28. I authorize the listing of my name and/or artist name and/or band name and/or the name(s) and/or artist name(s) and/or band name(s) of my Invitee(s) on Licensors Website. 29. I agree that my rental may, as a result of violating any of the aforementioned rules or by perpetrating any of the aformentioned Actions or Activities, be terminated without notice, or may be considered not in good standing which may in turn result in my no longer being eligible to receive any refund, whether or not I was otherwise qualified to receive any refund, by leaving, or being caused to leave, before my VacancyDate or for any other reason. 30. I am 21 years of age or over. Additionally, all Invitees are 21 years of age or over. By clicking on the *I AGREE* button, and/or by licensing or renting or using a room or space in the Studios, you are indicating you have read this Policy and agree to be bound by the terms herein and you further agree that this Policy supersedes all previous and other agreements, communications, oral or written, and all other communications (including without limitation any email or emails); and that further, in cases of any discrepancies, this Policy (residing at bandspacesnyc.com/POLICY ) shall govern. ==================================================================================== DBM
